These Terms of Service ("Terms") apply to your use of www.apexwisesolution.com and to any enquiry, free pilot week or service you request from Apex Wise Solutions ("we", "us"). By using the website or our services, you agree to these Terms.
1. Our services
We provide outsourced customer support, virtual assistants, web and software development, SEO, social media, AI content and related services. The exact scope, price, timeline and service levels for each client are set out in a written proposal, order or agreement ("Agreement"). If an Agreement conflicts with these Terms, the Agreement wins.
2. Free pilot week
- The pilot week is free of charge and creates no obligation to buy.
- You give our agent access to the tools needed (for example your helpdesk) with the permissions you choose, and tell us your policies and how to escalate.
- You can review our work and stop the pilot at any time. We may also end it if it isn't a good fit.
- The confidentiality terms in section 5 apply during the pilot.
3. Quotes, fees and payment
Prices are quoted individually. Unless an Agreement says otherwise, services are billed monthly in advance, invoices are due within 7 days, and you can cancel ongoing services with 30 days' written notice. Fees already paid for work performed are not refundable. Project work such as websites is billed as set out in its Agreement.
4. Your responsibilities
- Give us accurate information, timely access and clear policies to follow.
- Make sure you have the right to share any data, content or materials you give us.
- Don't ask us to do anything unlawful, misleading or harmful, such as sending spam or posting fake reviews.
5. Confidentiality and data
We keep your business information and your customers' data confidential, use it only to provide the services, and sign an NDA on request. Each team member uses an individual login, and access is removed when they stop working on your account. Our Privacy Policy explains how we handle personal information.
6. Ownership
You own your data, your brand and the content we create specifically for you once it has been paid for. We keep ownership of our own tools, templates, know-how and pre-existing materials, and give you a licence to use anything of ours that is included in your deliverables. The content of this website belongs to us and may not be copied without permission.
7. Non-solicitation
During our work together and for 12 months after it ends, neither side will directly hire the other's staff who worked on the account without written agreement. For agency (white-label) partners, we will not approach your clients directly.
8. Website use
Don't misuse the website: no attempts to break its security, overload it, scrape it at scale or submit spam through its forms. Information on the website is general and may change; it is not a binding offer.
9. Warranties and liability
We perform our services with reasonable skill and care. Apart from that, and to the extent the law allows, the website and services are provided "as is" without other warranties. Results such as search rankings, sales or response metrics depend on factors outside our control and are not guaranteed.
To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or lost data, and our total liability for any claim is limited to the fees you paid us in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.
10. Third-party links and tools
The website may link to other sites such as WhatsApp or review platforms, and our work may use third-party tools such as your helpdesk. We are not responsible for their content, availability or terms.
11. Governing law
These Terms are governed by the laws of the State of Montana, USA, unless an Agreement says otherwise. If a dispute arises, we will first try to resolve it in good faith by talking to each other.
12. Changes
We may update these Terms. The date at the top shows the latest version. Changes do not affect Agreements already signed unless both sides agree.
